These terms and conditions outline the rules and regulations for the use of Improve PD Limited's website, and the services provided by Improve PD Limited.

1. Introduction
These Terms and Conditions ("Terms") govern the use of the ImprovePD platform and services provided by ImprovePD Ltd ("ImprovePD", "we", "our" or "us").
By purchasing, accessing or using the ImprovePD platform, the Customer agrees to be bound by these Terms.
2. Definitions
Customer means the school, trust, educational organisation or other entity entering into an agreement with ImprovePD.
Authorised User means an individual permitted by the Customer to access the platform.
Services means the ImprovePD software platform and associated support services.
Customer Data means information entered into the platform by or on behalf of the Customer.
3. Licence
Subject to payment of applicable fees and compliance with these Terms, ImprovePD grants the Customer a non-exclusive, non-transferable right to access and use the Services during the subscription term.
No ownership rights in the software are transferred to the Customer.
4. Customer Responsibilities
The Customer agrees to:
- Maintain accurate user information.
- Ensure authorised users keep login credentials secure.
- Use the Services lawfully.
- Comply with applicable data protection legislation.
- Ensure appropriate permissions have been obtained before uploading personal data.
The Customer shall not:
- Attempt to gain unauthorised access to the platform.
- Reverse engineer, copy or modify the software.
- Use the platform for unlawful purposes.
- Introduce malware or malicious code.
5. Customer Data
The Customer retains ownership of all Customer Data entered into the platform.
ImprovePD shall process Customer Data only as necessary to provide the Services and in accordance with the applicable Data Processing Agreement.
6. Availability and Support
ImprovePD will use reasonable efforts to make the Services available and operational.
Planned maintenance may occasionally require temporary interruption of the Services.
No service can guarantee uninterrupted availability.
Support will be provided through agreed support channels during normal business hours unless otherwise agreed.
7. Backups and Recovery
ImprovePD maintains reasonable backup procedures designed to support service continuity and data recovery.
While reasonable efforts are made to protect Customer Data, the Customer remains responsible for maintaining any records required to meet its own statutory obligations.
8. Fees and Payment
Subscription fees shall be invoiced in accordance with the agreed order or quotation.
Invoices are payable within thirty (30) days unless otherwise agreed.
Failure to pay may result in suspension of access to the Services.
9. Intellectual Property
All intellectual property rights in the ImprovePD platform, software, documentation and related materials remain the property of ImprovePD.
Nothing in these Terms transfers ownership of the software to the Customer.
10. Confidentiality
Each party agrees to keep confidential information received from the other party secure and not disclose it to third parties except where required by law.
This obligation survives termination of the agreement.
11. Data Protection
The parties agree to comply with applicable data protection legislation, including the UK General Data Protection Regulation and the Data Protection Act 2018.
Where required, a separate Data Processing Agreement shall apply.
12. Limitation of Liability
Nothing in these Terms excludes liability that cannot legally be excluded.
Subject to the above:
- ImprovePD shall not be liable for indirect or consequential losses.
- ImprovePD shall not be liable for loss of profits, revenue, goodwill or anticipated savings.
- ImprovePD's total liability arising from the Services shall not exceed the fees paid by the Customer during the twelve months preceding the claim.
13. Warranties
ImprovePD warrants that the Services will be provided with reasonable skill and care.
Except as expressly stated in these Terms, all other warranties and representations are excluded to the fullest extent permitted by law.
14. Suspension
ImprovePD may suspend access where:
- There is a security risk.
- The Customer materially breaches these Terms.
- Payment remains outstanding.
- Continued access would expose ImprovePD or other users to risk.
15. Termination
Either party may terminate the agreement:
- At the end of the subscription term.
- For material breach not remedied within thirty (30) days of written notice.
- Where required by law.
Upon termination:
- Customer access will cease.
- Customer Data may be exported on request.
- Data will be retained and deleted in accordance with the Data Retention Policy and Data Processing Agreement.
16. Changes to the Services
ImprovePD may update, improve or modify the Services from time to time.
Where changes materially affect functionality, reasonable notice will be provided where practicable.
17. Force Majeure
Neither party shall be liable for delays or failures caused by circumstances beyond its reasonable control, including internet failures, cyber incidents, natural disasters or governmental actions.
18. Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales.
The courts of England and Wales shall have exclusive jurisdiction over any dispute arising from these Terms.
